Labaton Keller Sucharow serves as Co-Lead Counsel in a class action in the Delaware Court of Chancery on behalf of former Class A stockholders of Skechers U.S.A., Inc. (Skechers or the Company).  Skechers is a global leader in footwear and apparel manufacturing based in the United States.

On May 29, 2026, the Firm filed a class action complaint (the Complaint) challenging Skechers’ take-private merger by 3G Capital Partners (3G), alleging that the Greenberg family, which controlled approximately 55% of Skechers’ voting power while holding only about 12% of its equity, (i) secretly negotiated the transaction with 3G for months without the knowledge or approval of the Company’s Board, (ii) formed an exclusive agreement to pursue the deal, and (iii) ultimately used their majority voting power to approve the merger by written consent, depriving minority stockholders of any vote.  The Complaint further alleges that the transaction was opportunistically timed during a temporary, tariff-driven decline in Skechers’ stock price, and that minority stockholders were forced to accept $63 per share in cash, significantly below prior trading levels and the Company's intrinsic value.  Meanwhile, the Greenberg family received approximately $1 billion in cash, retained their management positions, and rolled over their equity at a substantially higher implied valuation through a mixed consideration option that was effectively unavailable to ordinary stockholders. 

On August 14, 2026, the court appointed Labaton Keller Sucharow as Co-Lead Counsel for the putative class of former Skechers common stockholders.

The case is In re Skechers Class Action Merger Litigation, C.A. No. 2025-1281-LWW (Del. Ch.).  The Firm represents Lead Plaintiff FMI Common Stock Fund.
